Terms of Service

1. Who these terms cover
These Terms of Service (“Terms”) govern your use of Shardwell, a practice management platform for independent management consultants, available at shardwell.io(the “Service”). Shardwell is operated by 1Lab.io Ltd(“Shardwell”, “we”, “us”). By creating an account you agree to these Terms and to our Privacy Policy.
2. What Shardwell is — and isn't
Shardwell helps you run engagements through an Agree–Deliver–Close lifecycle aligned with ISO 20700 (Management Consultancy Services — Guidelines for service providers), and maintains an evidence trail of what was agreed, delivered, and closed.
Shardwell is not a certification body. Any ISO 20700 status shown in the platform, on your public profile, or in exported reports is a self-declaration based on your own engagement records — it is not a third-party audit, accreditation, or certification, and it is not issued or endorsed by ICMCI or any national management consultancy institute. If you want a formal ICMCI self-declaration or accreditation, use the official ICMCI process at icmci.org.
3. Accounts
You must provide accurate information when registering, including your jurisdiction (UK, EU, or US), and keep your login credentials confidential. You are responsible for activity that happens under your account. Before first use of the dashboard, every account must accept the Data Processing Agreement presented during onboarding.
4. Your content and data
You own the client, engagement, proposal, and invoice data you enter into Shardwell. We act as a processor of that data on your behalf and do not use it to train shared AI models or for any purpose other than providing the Service to you, as set out in our Privacy Policy. You are responsible for having the right to store any client data you enter, and for complying with your own confidentiality and data protection obligations to your clients.
5. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in breach of any applicable regulation;
- Attempt to access another account or bypass access controls;
- Reverse-engineer, resell, or white-label the Service without our written consent;
- Use the public profile, proposal-share, or certificate pages to publish misleading claims about accreditation, qualifications, or third-party endorsement.
6. Subscriptions and billing
New accounts get a 3-day free trial. After the trial, continued access requires an active paid subscription (Essentials, Professional, or Advanced tier, billed monthly in GBP via Stripe). Prices shown in USD on the website are approximate conversions for reference only — billing is processed in GBP. You can cancel or change your plan at any time from your account settings; cancellation takes effect at the end of the current billing period. If a renewal payment fails, we will retry it and email you before making any change to your access.
7. Intellectual property
Shardwell, its branding, and its software are our property or that of our licensors. Nothing in these Terms transfers ownership of the Service to you. You retain all rights to the content you create and store using the Service.
8. Disclaimers
The Service is provided “as is”. We do not warrant that it will be uninterrupted or error-free. Shardwell is a practice management tool — it does not provide legal, tax, insurance, or professional indemnity advice, and using it does not itself guarantee compliance with ISO 20700, GDPR, or any other standard or regulation applicable to your practice. You remain responsible for your own professional and regulatory obligations.
9. Limitation of liability
To the maximum extent permitted by law, our total liability to you arising out of or related to the Service is limited to the amount you paid us in the 12 months before the claim arose. We are not liable for indirect, incidental, or consequential losses, including loss of profits, clients, or data, except where such liability cannot be excluded by law (for example, liability for death, personal injury, or fraud).
10. Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate an account for breach of these Terms, non-payment, or unlawful use. On termination we will retain your data only as long as needed to comply with legal obligations or as described in our Privacy Policy, and will export or delete it on request as set out there.
11. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will notify you by email before it takes effect. Continued use of the Service after a change takes effect means you accept the updated Terms.
12. Governing law
These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. This does not remove any statutory consumer or data protection rights you have in your own country of residence.
